Website Terms & Conditions — Chemistry Works LLC

By accessing chemistry.works or placing an order you agree to these terms. The RUO Material Transfer Agreement (MTA) presented at checkout is incorporated by reference and also governs each order.

1. Research use only (RUO). All products are sold strictly for laboratory and scientific research purposes. They are not intended for human or animal consumption, clinical use, diagnostic use, veterinary use, or any therapeutic application.

2. Age & eligibility. You must be at least 18 years of age (or the age of majority where you live, if higher) to create an account or place an order. You represent that you are purchasing for lawful research use — including on behalf of a qualified research, academic, or laboratory entity where applicable — and that you will handle materials in accordance with applicable laws, institutional policies, and good laboratory practice.

3. Accounts. An account is optional. Guest checkout is available with a valid email. Creating an account lets you save addresses, compliance details, and order history. You are responsible for safeguarding your login credentials and for activity under your account. Provide accurate contact and shipping information.

4. No medical claims. Nothing on this website constitutes medical advice. Products are not drugs, dietary supplements, or cosmetics, and are not intended to diagnose, treat, cure, or prevent any disease. Product information is for research reference only.

5. Orders & fulfillment. Orders are subject to acceptance and availability. We may cancel or refuse any order that appears incomplete, fraudulent, or inconsistent with research-use policies. Prices and availability may change without notice until an order is accepted.

6. Payment. Accepted payment methods are shown at checkout. You authorize charges for product totals, applicable taxes, shipping, and optional fees (such as Shipping Protection) you select. Fraudulent or unauthorized payment attempts may result in order cancellation and account restrictions.

7. Shipping. Title and risk of loss pass according to the carrier terms once the shipment leaves our facility. Provide a complete, accurate shipping address. Discreet packaging is used where practical. Optional Shipping Protection, when selected at checkout, applies only as described at checkout and does not cover misuse of research materials.

8. Returns. Contact [email protected] for return or quality concerns. Opened research materials may be ineligible for return for safety and contamination reasons. Unopened items reported damaged or incorrect may be reviewed for replacement or credit at our discretion.

9. Limitation of liability. To the fullest extent permitted by law, Chemistry Works LLC is not liable for indirect, incidental, special, or consequential damages arising from use or misuse of products or the website. Total liability related to any order is limited to the amount paid for that order.

10. Indemnification. You agree to indemnify Chemistry Works LLC against claims arising from your handling, storage, use, or disposal of products, except to the extent caused by our gross negligence or willful misconduct.

11. Privacy. Account and order information is used to process orders, provide support, prevent fraud, and improve our services. Contact [email protected] with privacy questions.

12. Changes. We may update these terms. Continued use of the site or placement of orders after updates constitutes acceptance of the revised terms. The version accepted at checkout (together with the MTA) controls that order.

RUO Material Transfer Agreement (MTA) — Chemistry Works LLC

This Material Transfer Agreement governs transfer of research-use-only materials (“Materials”) from Chemistry Works LLC (“Provider”) to the purchaser (“Recipient”).

1. Purpose. Materials are provided solely for non-clinical laboratory research. Recipient will not use Materials in humans or animals, for diagnostic purposes, or as a food, drug, or cosmetic.

2. No further transfer. Recipient will not sell, gift, or otherwise transfer Materials to any third party without Provider’s prior written consent, except to employees or contractors under Recipient’s direct supervision who are bound by equivalent restrictions.

3. Compliance. Recipient is responsible for obtaining any permits, institutional approvals, and safety controls required for possession and use of the Materials.

4. Intellectual property. Provider retains all rights in the Materials and related information. No license under any patent or trademark is granted except the limited right to use Materials for the research purpose stated above.

5. Acknowledgement. Recipient acknowledges that Materials are experimental, may have unknown properties, and are provided without warranty of merchantability or fitness for a particular purpose, except as expressly stated in writing by Provider.

6. Indemnification. Recipient agrees to handle Materials safely and to indemnify Provider against claims arising from Recipient’s use, storage, or disposal of Materials, except to the extent caused by Provider’s gross negligence or willful misconduct.

7. Acceptance. Checking the agreement box and signing at checkout constitutes Recipient’s acceptance of this MTA and the website Terms & Conditions for the order being placed.
